Let's Make a Deal - What's Behind Door Number 3

No fellow readers, it's not Monty Hall asking Jay Stewart to open door number 3. Surprise, it was reported today that Amedica made an acquisition of a spinal implant company for $40 million. Could it be Atlas? No! Could it be Custom Spine? TSB heard that after Amedica kicked the tires on this company, the powers to be thought that Bennett and Abdelgany were smoking too much ganja in their hookah pipe. So who could this company be?

TSB thinks that based on the information it could be X-Spine or US Spine. We don't claim to know everything, but one thing we know we get a lot of breaking news before some of the other platforms in the industry. So in the spirit of having some fun, whom do our readers believe that Amedica paid $40 samollions for? TSB wants to know what you think?

  1. I have heard the same rumors, MM, but it's not us. I do have respect for Ben Shappley, and I'm sure any transaction he makes will make sense. Keep up the good work.

  2. probbly a company in the 13 mill range. don't think it's us spine - they are firmy in fac. fusion and i'm guessing amedica wants to acquire an expansive portfolio (me-too or not) that they can sell together with their IB. life spine perhaps?

  6. Life Spine sounds like a good bet, US Spine, Spine 360, Care Spine, Spine Frontier..... maybe. Vertiflex? Custom Spine? To kick those tires, you would need a lot of Armour All, a few pine scented air fresheners and Earl Scheib (I'll paint any car for $99!), himself to make those two look good. Keep your eye on those two, turn around, globus may walk away with the AM/FM cassette stereo and their tires, too.

  9. It will be interesting to see if the deal actually closes after a full due-diligence is completed. A careful analysis will need to be made of sales to SAB members versus outside surgeons. If a large percentage of sales is to insiders, their revenue will have to be heavily discounted.

    There was some speculation that the same issues could have negatively affected the presumptive K2M/S&N merger.

  13. The word is that Amedica paid $15 million plus some stock for US Spine. If true, congrats to Doris Blake and her family, jump on your horses and get out of dodge as fast as you can.

  14. I have heard, from a very reliable source, that the company Amedica has agreed to purchase for $40 mil is..........Medtronic. It is rumored that this acquisition is a strategic move intended to provide Amedica with an immediate and significant presence in the ultra-lucrative "human-head" segment of the market.

  16. US-Spine has not been bought. if i had a dollar for everytime i heard that, i would be rich. They have some sweet products but unfortunately with the new mgmt and high turnover ratios, nobody there sems to know what to do with the products.......

  17. Nobody has asked - where would Amedica even get the $40mm in cash for an acquisition? If it isn't a cash deal, then just trading paper of one private company for another doesn't have any relevance on deal value - its relative ownership. So, if Amedica were to have the support of its existing or new financial partners, I couldn't imagine that their valuation would be higher than $100mm (post-money), which would imply $60mm pre-money. I don't know any details or information, but it just seems...improbable...

  20. Amedica is so well financed(some 100 million to date), and run by seasoned stars of the orthopedic industry(ben shappley) that whatever decision they make will certainly be strategic and well planned....

  23. also heard that spine 360 has issues and cant sell....heard that us spine has several bidders and prices were in excess of 50m...products have drawn interest from the big players in spine....heard that S & N might be looking at Globus as well.....

  24. The buzz is that Amedica has raised a slug of fresh capital and has been looking for a tuck-in acquisition to grow sales and breadth of products. I find it impossible to believe that ANYONE is raising money in this environment... But if that's true, then it is a pretty clear manifestation that 1) Amedica's ceramic technology is the real deal and 2) the majors better watch their lower spines!

  26. This blog is good, but not updated enough. No new threads for 8 days. A good blog should have at least one new thread per day - even if it's just a link to an interesting news item.

    If TSB is too busy, why not recruit some guest bloggers? It would be interesting to hear some other voices in spine.

  30. If Amedica acquired US Spine, it seems to me like that would be one plus one equals three.

    US Spine is undercapitalized but has great technology in their Facet Gun and other hardware.

    Amedica has a ceramic technology that will likely replace peek in a few years.

    The combined company, if properly capitalized and managed, could define the word, "Synergy".

    I haven't seen anything to suggest that US Spine and Amedica are hooking up... Has that been confirmed?

  32. ...Two words, my ignorant friend: BONE ATTACHMENT. We are seeing actual bone attachment to Amedica's ceramic spacers within weeks after implant. Peek spacers represent a half billion dollar market in the US... but, bone doesn't attach to plastic! Talk to any physician who is actually working with this material and you will learn firsthand the definition of clinical benefits.
