Globus: Did David Slay Goliath? Or Did He Get Something He Never Wished For?

The sky lit up in Audubon, PA this weekend.  One could smell the thrill of victory and not the agony of defeat.  Yes fellow bloggers, Glo-bus finally went public. Maybe just maybe, once and for all, we have heard the last of our obnoxious blogger, whom we have taken an affinity too, asking our readers the proverbial question, "when will Glo-bus go public?" In retrospect it will be interesting to assess how many shares were really sold, and whether or not the Dr. Famous' of this world who invested in this company will keep on giving the gift of giving by using Glo-bus products? Whoever said there wasn't any monetary incentive in using a specific companies product if there wasn't a potential payout in the end?

It has been a long and arduous journey for David Paul. A trek that spans many continents, the travails of leaving the company that you thought once loved you under the harshest of all circumstances, a rift amongst family members, being sued, and sued, and sued, and sued, and finally arriving at that magical moment when the stars all do align themselves for that one bright shining moment. So everybody have fun tonight, everybody Wang Chung tonight. With all that capital, who knows, maybe Globus will settle with the many plaintiffs that have filed suit against the Glo-bus for allegedly violating their patents, and move on. That would be wishful thinking. Maybe David Paul will now acquire another assistant to assist his trust worthy aide, Tatoo, or maybe he will really shock us at this years NASS meeting and arrive with pomp and circumstance, that would be pretty funny. Could a Jenna Jameson spokes model be in the picture? TSB could see the new Glo-bus booth, make no mistake.  A shining new sign will be up declaring that GMED is now a member of the NYSE. Maybe those that did not believe that this day would happen will be invited into the booth for some Naan, Roti, Tandoori Lamb Chops and Palak Chaat, one of TSB's all time favorites.  Who knows maybe David will hire TSB to cook for him? What a better way to get to know the man, the legend, the genius as his caddie McAfee calls him. Maybe McAfee will finally become his concubine? For one thing, TSB is relieved that everyone will no longer have to listen to McAfee embarrass himself at the podium declaring that "David Paul is a genius."

In closing, it was a fun weekend for those of us who had any stock or acquired some stock in the new kid on the block. But the mystery question is, will the Glo-bus be able to sustain success or will they just become another me too company? With 12-20 new products on the horizon, depending on whose propaganda you believe, poor David must not have any time to enjoy the fruit of his success. Who knows? Was he burning the midnight oil? Probably not.  In the end, after all the pomp and circumstance dies down and David takes the time to reflect on his success there will be that moment of clarity when he realizes that after all is said and done, he has become everything that he once detested about his former employer Synthes. Don't believe it?  Just ask Lukianov. Congratulations to all our friends at Globus, we'll be looking to stop by the booth at NASS to interview you.  As Bogie once said, "Here's looking at you kid!"

  4. ...say what you will, but because I threw my lot in with David; as of Friday I am $917k ahead, I have generously improved my 401K status over the Swiss Billionaire's 401k plan....and I no longer support his world view to take the money & give it to the Sierra club vs giving it to the employees & their families who helped make his Companies great. At least when DP's boat rises...my dingy rises too. Way to go David; you followed your dream & brought us to this new vista....and the future looks even brighter from here.

Big deal, look at the Stryker family for 5min and most will be appalled by some of the silly stuff.......but they can run a business, or at least start one...

    Having looked thru financials for years, I can tell you all one thing. Grow up and remember that this is business. Every company I have looked into has skeletons. Every single one. News flash, they really don't matter to anyone but their competition. Wasn't Synthes involved in cover ups and potentially deaths of patients recently? JJ didn't care, bought Synthes for $20+ Billion! How many Synthes reps got a piece of that? I use this one example solely because to list every egregious act a medical company, or Good Lord, every pharma company has committed would be an effort worthy of a Phd in Statistical Economics. Get real folks, the only way for anyone to work in this, or any hyper scrutinized industry, is to remember why you do the voodoo you do. Money. Plain and simple. I am very confident, having enjoyed most of the writing style of TSB, and the fact that he spends quite a bit of time on this blog, that he would probably be much happier and equally successful, in another field. If everything is so bad, why stay? Lifestyle handcuffs?

    If anyone can replicate a company, like Synthes, Stryker, or Globus .....meaning, very strong manufacturing business, good admin, strong sales and is Profitable......you can be like every other successful entrepreneur in the world. Universally, every company that does this is accused, found guilty of some fault, and recovers from it. What's the old saying? It's not how far or hard a man falls, what matters is what the man does when he stands back up. Nuvasive, Alphatec, Lanx....and several other companies out there could learn a lot from Globus.

    2. i agree, but i was referring to the industry in general.....the vast majority of reps and managers i speak to say the same thing, but show me one that does it for free. Money isnt evil any more than enjoying your job is honorable.....but more than half the posts on this blog are complaints or schoolyard pot shots focused on the corruption, theft or underhanded dealings by companies and reps. if you like it, great! if you dont, leave. the heydays of big paychecks may be coming to a close, but it is coming and the big companies profits are down.....watch the comp plans.....they arent going up!

  12. doubtful, nuva has paid waaay more in fines than Globus, and much less than MDT,, Syn, Stryker and JJ have over the years. fines are fines....Nuva and Alphatec.....like our government, needs to control costs better and stop spending so much.

    Nuva not thieves? what, exactly, was the $150mil, or so, in fines for? i am sure if you spoke to the neuromonitoring company they stole the algorithm from they would sing a different tune.

      NuVasive did not get sued for stealing it's patented hunting algorithm. It got sued for using the trade-name "NeuroVision". Allegedly, this trade-name was already being used by a company known as "NeuroVision Medical Products". That is why NuVasive still uses the exact same monitoring equipment that it was using before the judgement was handed down. The only difference is the name. NuVasive's flagship monitoring system now goes by the trade-name "NVM5".

    2. Not Rep for any device company, I can read. Where is the official, published statement from Nuvasive on the two lawsuits resulting in $160 mil in fines? Looking from a financial only perspective, as 2:51 stated, nobody cares about lawsuits or fines. Please enlighten us all with how Nuva, Lanx or Alphatec are doing at simply running their companies? Profit margins are dismally low and their costs are too high.

  14. WHY HASN'T ANYONE TALKED ABOUT THE 1-FOR-3.25 REVERSE SPLIT OF ALL COMMON SHARES OUTSTANDING BEFORE THE IPO?

    I WOULD BE PRETTY PISSED IF I WAS ONE OF THOSE SURGEONS THAT HAD BEEN LURED-IN BY STOCK OPTIONS ALONG WITH THE PROMISE OF A BIG PAYDAY WHEN THE COMPANY WENT PUBLIC. FOR THOSE FOLKS, THE STOCK WAS ONLY WORTH ABOUT $3.69 AT IPO (OR $4.17 TODAY). ALL OF THE TALK ABOUT GLOBUS' SHARES BEING SUPER-DILUTED PRE-IPO MUST HAVE BEEN TRUE.

    I BET DAVID PAUL'S SHARES WEREN'T AFFECTED BY THIS REVERSE SPLIT (COMMON SHARES ONLY).

    4. Reverse splits carry a pretty negative connotation. As was stated earlier, this comes from a dilution of outstanding shares that would result in an unfavorable IPO price. In this case specifically it was not a good move as the initial target of $16-18 wound up at $12. Don't kid yourself, GMED didn't do this because they wanted to.

    5. I'm no financial expert, but having gone through this before, adjusting the share values is common during an IPO. This doesn't really affect anyone as the share price before the IPO was pretty much meaningless, and all shareholders should know it. It's just a way of adjusting the price of a share to be in the marketable $10-20 range.

      All that matters to the shareholders is how much of the pie (company value divided by number of shares times your shares) they own or have options for. If their section of the pie gets divided into smaller pieces (split), or consolidated into larger (reverse split), to make the price of each share more palatable to the market, that's fine.

      It's only post-IPO, when shares are being traded on the open market, and a reverse split is implemented to inflate the price to keep the share price from being too cheap to be marketable, that it looks bad.

      But again, I'm no financial expert and I know some are tuned in and can correct me if I'm wrong.

  16. Folks, something that everyone is overlooking is that every single person holding options has to wait 1 year from the IPO date to sell anything. All these people stating what they're worth are actually worth nothing at the moment. Check in a year from now when the waiting period has expired, Globus has missed a qtr. and the stock is at $4/ share. The SEC does have rules folks and they're designed to protect the general public from "pump & dump" schemes w/ IPOs. Just ask Mark Zuckerberg how he's feeling these days after losing roughly $9B,, YES, BILLION, since his IPO.

  22. 5:39 I am guessing you had about 10,000 shares. GMED and DMAC weren't giving those away to anyone that didn't have an MD by his name. So after the 3.25 to 1 split you had about 3,000 shares. You got to sell 20%, around 600 @ $13.50 . So you made around $8100 before capital gains tax or around $5670. Wow, don't spend it all in one place.

Surgeons seem to be taking more time off then ever before,, some 2-3 weeks at a pop, so it sure will be interesting to see how this company fairs when it's time to report its 1st qtr. of earnings to the street this fall,,

I am sure he is on the list to be invited to the annual stockholders meeting where he will be engaged for his ideas of how to improve operations and his ideas will be incorporated into future strategy and planning.   50. Full Disclosure - I am not a stock broker nor do own a crystal ball.

    For those that have come on the blog boasting about the financials of Globus how do you explain a P/E of 62, EPS of 0.2117 and a market cap of 1.2 billion on 350 million in sales. I thought you want a low P/E and a high EPS. To put this in perspective Zimmer has a P/E of 14.24 an EPS of 4.278 and a market cap of 10.7 billion on 4.5 billion in sales. Stryker has a P/E of 14.47 an EPS of 3.640 and a market cap of 20.2 billion on about 6.5 billion in sales. Both obviously operate primarily in the more stable total joint market where PODs aren't as prevalent and there are not 150+ companies. Go ahead and put all your money on Globus but my prediction is this stock falls and it is sold off for spare parts.

    Good company with good products and a manufacturing operation/output that has no rivals. Terrible financials, get out while you can unless you know an acquisition is immenient or sales are maintaining their above industry rates. Going to be difficult with competition, PODs, declining reimbursement and surgeon volumes. Plus retarded Globus reps that thing going public suddenly validates their existence and financials. Now your playing with the big boys, get ready to take your lumps.

    I wonder how many will have their jobs after they are acquired as just like you were excited to cash in so will David be to cash in twice for significantly more. Everyone has a price and most people will short themselves.

      Facts are facts and they can't be denied(unless you're Obama). This is not good for the industry however. Charlatans and sharks make us all look bad. The dopey young reps that mouth off on here are one thing....its a blog, but the adults that pay attention to the industry are another.

    2. Just to be fair... and again I am no stock broker, just a dumb device rep.

      Nuvasive - P/E - (Negative), EPS -1.851, Market Cap 880.7 million on around 500 million in sales.

      Alphatec - P/E - (Negative), EPS -027986, Market Cap 140.7 million (89.6 million shares) on around 200 million in sales.

      I have been wondering why Globus, Nuvasive and Alphatec haven't been bought (not really about Alphatec with the pod albatross) but would you buy them? You could throw a dart at the Sunday Paper list of companies and almost be guaranteed to hit a company with better financials. If you own stock in these three companies I suggest you sue the management because something tells me your not getting rich off the shares.

      Alphatec needs to pull a DP and reverse split before their shares out number their market cap and they are downgraded to the Penny Stock board. But don't worry their new CEO will turn it around.
